These terms are an agreement between you, the business using Cleartrill, and Diaz Industries Incorporated ("we", "us"). By creating an account you accept these terms and confirm you have read the Privacy Policy. Your acceptance in the app or on the website is your signature, and the version and the language you accept are stamped on your account. Cleartrill is for businesses. By using it you confirm you are using it for your business, not as a consumer, and that you can bind that business. You are at least 18.

These terms include an agreement to resolve disputes by individual arbitration, and a waiver of class actions and jury trials. You can opt out of arbitration within 30 days. See "Disputes and law".

What Cleartrill is

An AI assistant that answers calls, texts and WhatsApp messages for your business using the information you approve, takes messages, books appointments when a calendar is connected, and reports back to you. It introduces itself as an AI assistant on every call and never pretends to be a person. It is a tool you run, not an employee and not an adviser. Like any tool that listens and speaks, it can mishear, misunderstand or make a mistake.

What you are responsible for

Not an emergency service

Cleartrill cannot call emergency services for a caller and cannot send help. When a caller describes danger, the assistant tells them to hang up and call 911 or their local emergency number, and does nothing else. Do not forward a line where someone's safety depends on a person picking up.

No advice

The assistant does not give medical, legal, financial, safety or other professional advice, and nothing it says is advice from us. If your profession is regulated, you decide what it may say, within the rules of your profession and the rules pack for your territory. Cleartrill is not offered for health care: we do not sign business associate agreements, and you will not use Cleartrill to collect health information that a law requires one for.

While Cleartrill is in testing

Cleartrill is new. While it is in a testing or early-access period, which we say in the app and in our emails to you, features can be incomplete, change or fail without notice, and the service is for trying out, not for relying on. Keep your previous way of answering calls ready during that period, and tell your callers nothing you would not say without it. The exclusions and the release in these terms apply in full during testing.

Free trial

New businesses may receive a free trial. Its length and its call, minute and reply allowances are shown before you start and on Your plan in the app. No card is taken to start it and nothing is charged when it ends. When the trial ends, or an allowance is used up, Cleartrill stops booking and answering questions until you choose a plan. For a short grace period your line may still take a brief message from each caller and email it to you; then your Cleartrill number is released on a date we email you, and we send you the steps to remove call forwarding. We may change or pause the trial offer for new businesses at any time; terms already granted to you are honoured. One trial per business; we may end a trial that is used to resell, abuse or build a competing service.

Plans and payment

Your plan renews at the end of the period you chose (a month, 6 months or 12 months) until you cancel it. You can cancel at any time; the plan runs to the end of the period you paid for. Prices are shown in your currency where we offer it, with USD as the reference. If a price changes, we tell you by email at least 30 days before it applies to you. Taxes are added where they apply. Included usage and overages are shown before you pay. When a plan includes a set number of call minutes each calendar month, that number and the price of each extra minute are shown before you pay; calls are not cut off when those minutes are used up, and each extra minute is charged at that price. When a plan includes a set number of text replies each calendar month, that number and the price of each extra reply are shown before you pay; replies do not stop when that number is used up, and each extra reply is charged at that price.

Some features carry a one-time fee, shown before you pay. The registration with US carriers that lets you text US customers from your Cleartrill number is one: it includes every resubmission the carriers ask for, and it is refunded only if we have not yet submitted your registration.

Payments on our website are processed by Stripe. Payments made in an app store are processed by that store under its terms, and its refund rules apply to them. If a payment fails, we may pause Cleartrill until it is paid. Discount codes are validated at checkout and cannot be combined unless the code says so. Fees already paid are not refunded, except where these terms or the law say otherwise. If you pay ahead on our website for 6 or 12 months, you can ask for a full refund of that payment within 14 days of it; after 14 days it is not refunded. A plan paid ahead renews at the end of its term at the price in force then, as you agree at checkout, and we remind you by email at least 30 days before it renews. You can move to a larger plan at any time and pay the difference; a smaller plan or another billing schedule starts at the end of the term you paid for. If we end Cleartrill or your account for a reason other than a breach of these terms, we refund the unused whole months of a plan you paid ahead.

Your Voice

If you choose Your Voice, you confirm that the voice you record is your own, and you give us permission to create a copy of it and use it only to answer your business's calls. Every call still starts with the assistant identifying itself as an AI assistant. You can revoke this consent at any time in the app; the copy stops being used immediately and is deleted within seven days. We never use your voice for anything else.

Recordings and messages

Calls are recorded and transcribed, and the assistant says so at the start of every call. Recordings and transcripts belong to your business. We do not use recordings, transcripts or messages, yours or your callers', to train AI models. We look at them only to provide Cleartrill, to help you when you ask, to investigate a security issue or a breach of these terms, or when the law requires it. You are responsible for any additional notice or consent your jurisdiction requires for recording calls, and for the consents your jurisdiction requires before a business sends text or WhatsApp messages.

Automatic replies to texts and WhatsApp go only to the channels and numbers you select, and stop for anyone who opts out or is on your private list. Automatic texts and replies go only to people who called or wrote to you first, and stay informational; you will not use them to promote or sell, and we may pause them if they are used that way. Replies to WhatsApp are sent from your own phone and account; WhatsApp's rules restrict automation, and a restriction or ban of your number by WhatsApp is a risk you accept when you switch that feature on. The assistant's statement that it is an AI assistant appears in its first reply and cannot be removed.

How we handle your callers' information

You are the organization responsible for your callers' personal information, and we process it for you. We use it only to provide Cleartrill as these terms describe; we do not sell it, share it for advertising or combine it with other customers' data. The people and providers who touch it are bound to confidentiality and to security measures appropriate to call recordings, including encrypted connections and access limited to those who need it. We tell your person in charge of personal information without delay of any breach or attempted breach of its confidentiality, and they can verify our measures on request. We help you answer a caller's request. When your account ends we delete it or return it on request, except what the law requires us to keep. This information is stored and processed outside Quebec, in British Columbia and the United States; on request we give you what you need for your privacy impact assessment. We comply with the privacy laws that apply to us as your service provider, including the California Consumer Privacy Act, and give your callers' information the level of protection those laws require. We tell you if we can no longer meet these obligations, and you can take reasonable steps to stop and correct any use of the information that breaks them.

Acceptable use

You will not use Cleartrill to pretend to be a person or another business, to send unsolicited messages, to harass or deceive anyone, or for anything unlawful, and you will not remove or work around the assistant's statement that it is an AI, its recording notice, its emergency handling or the rules pack for your profession and territory. You can change the words of your opening line; callers always hear that it is an AI assistant and that the call is recorded. You will not resell Cleartrill, share your account, copy or scrape it, reverse engineer it, or use it to build a competing service. You are not located in, or controlled by anyone in, a country or on a list under Canadian or US sanctions. Cleartrill, its name, its bell mark, its website and its software are ours; you get a right to use the service, nothing more.

Feedback

If you send us ideas or feedback, we may use them freely, without paying you or naming you.

Our providers

Cleartrill runs on outside providers, including telephone carriers, messaging providers, the voice provider that runs the calls, AI model providers, our hosting provider, a payment processor and, if you connect one, a calendar provider. We choose them with care but do not control them. Their outages, delays and errors are outside our control.

What we do not promise

We work to keep Cleartrill available and accurate, but we do not guarantee that every call is answered, every message understood, every booking made or every word correct. To the fullest extent the law allows, Cleartrill is provided as it is and as available, with no warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy or uninterrupted service. Value estimates in the app are estimates from your own starting prices, not measured revenue.

Your own risk, and no liability

You use Cleartrill at your own risk and on your own judgment. What the assistant says, books, misses or gets wrong is a risk you accept when you connect it to your business, and you keep your previous way of answering available for anything that matters.

To the fullest extent the law allows, we have no liability to you or to anyone claiming through you, for any amount, for anything arising from Cleartrill or this agreement, however it arises: in contract, tort (including negligence), statute or otherwise. This covers direct, indirect, incidental, special, punitive and consequential loss; lost profits, business, bookings, customers, data or goodwill; a missed, dropped, misunderstood or misrouted call or message; a call or message screened as spam; a wrong, incomplete or late answer, time, name or number; a booking that was not made or was made wrongly; any act of one of our providers; downtime, errors and changes to the service; and any reliance by you or your callers on what the assistant said.

Where a law does not let us exclude a liability, that liability is limited to the greater of the fees you paid us in the three months before the claim and CA$100, and it is your only remedy. Any claim against us must be brought within one year of the event it is about, or it is waived.

Nothing in these terms excludes or limits a liability that cannot be excluded or limited: fraud, wilful misconduct, death or personal injury caused by negligence, and any other liability your law protects. In Quebec, the one-year limit does not apply, and nothing in these terms, including the release, excludes or limits our liability for bodily or moral injury or for intentional or gross fault. In the United Kingdom and the European Union, the total exclusion above does not apply to you, and our liability for negligence or breach is limited to the greater of the fees you paid us in the three months before the claim and CA$100.

The exclusions and limits in these terms are part of the price. Without them Cleartrill would cost more, or could not be offered.

Release

You release Diaz Industries Incorporated, its directors, officers, employees, contractors, providers, shareholders, affiliates and successors from every claim, demand and loss connected with your use of Cleartrill, with what the assistant said or did for your business, and with any dispute between you and your callers, customers or anyone else, to the fullest extent the law allows. If you are in California, you waive California Civil Code section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." Wherever you are, you waive any law with the same effect.

Claims against us because of your business

If a caller, a customer, a regulator or anyone else brings a claim against us, our directors, officers, employees, contractors, providers, shareholders, affiliates or successors because of your business, including the information, website content, recordings or voice you gave us, what the assistant said to your callers from it, what you used Cleartrill for, your compliance with the rules of your profession or territory, or the notices and consents your jurisdiction requires, you will defend us and cover every loss and cost from that claim, including reasonable legal fees. We may defend the claim ourselves, with counsel we choose, at your cost. You will not settle a claim in a way that binds us or admits fault for us without our written consent.

Ending the agreement

You can delete your account at any time from Settings. You can export your transcripts and bookings at any time from Settings (Export my data), including before you delete your account; then deletion runs as the Privacy Policy describes. We may ask you to verify who you are and your business before a line goes live or to keep it live. We can decline to open an account or activate a line, and we can suspend or end an account that breaks these terms, puts callers at risk, exposes us or our providers to legal risk, or stays unpaid, with notice where we can give it. When an account ends, its Cleartrill number is released and its data is deleted as the Privacy Policy describes.

If you use the iPhone app

These terms are between you and us, not Apple. Your right to use the app is limited to Apple devices you own or control, as the App Store's usage rules allow. Apple has no duty to maintain or support the app and is not responsible for any claim about it, including product liability, legal or regulatory compliance, consumer protection, privacy, or a claim that the app infringes someone's intellectual property; we handle those as these terms allow. If the app fails a warranty the law imposes, you can tell Apple, and Apple will refund the app's purchase price, if any; Apple has no other warranty obligation. You use the app under the App Store's terms and the terms of your mobile carrier. Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it against you.

Disputes and law

Governing law. The laws of British Columbia and the federal laws of Canada apply to these terms and to any dispute about Cleartrill, wherever you are, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Talk first. Before starting an arbitration or a court claim, the party with the claim sends the other a written description of it and of what would settle it, to support@cleartrill.ai or to the email on your account. We both try in good faith for 30 days to resolve it, and limitation periods pause during those 30 days.

Arbitration. If we have not resolved it, any dispute between us about Cleartrill or these terms is decided by final and binding arbitration, administered by the Vancouver International Arbitration Centre under its rules, by one arbitrator, seated in Vancouver, with hearings by video unless the arbitrator decides otherwise. It is held in English, or in French for a business in Quebec that asks. The arbitrator decides any question about whether a dispute must be arbitrated, except a question about the class waiver below, which only a court decides. For customers in the United States, the Federal Arbitration Act governs this agreement to arbitrate. The award may be entered in any court that has jurisdiction.

Costs. For a claim you bring, we pay the arbitration centre's and the arbitrator's fees beyond the filing fee you would pay to start the same claim in your local court, unless the arbitrator finds the claim frivolous or brought for an improper purpose. Each of us pays its own lawyers unless the arbitrator decides otherwise under the law.

Individual claims only. Each of us brings claims only individually, never as a plaintiff or class member in a class, group, collective or representative proceeding. The arbitrator may not combine claims of different customers or award relief to anyone but the party claiming. If a court finds this waiver unenforceable for a claim, that claim goes to court, not to arbitration, and every other claim stays in arbitration.

Many similar claims. If 25 or more similar claims are brought against us by or with the help of the same lawyers or organization, the arbitration centre administers them in batches it sets, and each claim is still decided on its own. Filing fees for a claim are due when its batch begins, and limitation periods pause for claims waiting their turn.

What stays in court. Either of us may bring an individual claim in a small claims court that has jurisdiction, and either of us may ask a court to stop the misuse of its intellectual property or confidential information.

Your right to opt out. You can opt out of arbitration by emailing support@cleartrill.ai within 30 days of first accepting these terms, or of our notice of this version if your account already exists, with your business name and the email on your account. If you opt out, or if a court finds this agreement to arbitrate does not apply to you, disputes go only to the courts of British Columbia, sitting in Vancouver, and you agree to their jurisdiction; claims are still brought individually, never as part of a class, group or representative action; and each of us waives a jury trial where the law allows a waiver.

Your law. If a law where you are gives you a right that cannot be waived, including a right to go to a court of your place, these terms apply as far as that law allows and nothing more.

General

These terms are the whole agreement between us about Cleartrill; nothing said on a call, in a text, on the website or by email adds to them, except a written order form we sign with you, which prevails where it says so. If a court finds part of them unenforceable, that part is applied as far as the law allows and the rest still applies in full. If we do not enforce a term once, we can still enforce it later. We are not responsible for a failure caused by something outside our reasonable control. We may transfer this agreement to a successor of our business; you may not transfer yours without our written consent.

Nothing in these terms makes us your agent, partner, employee or joint venturer; the assistant acts on your instructions and the information you approve. No one other than you and us has rights under these terms, except that our directors, officers, employees, contractors, providers, shareholders, affiliates and successors may rely on the exclusions, limits, release and defence in them, and Apple as "If you use the iPhone app" says.

The sections on recordings and messages, your callers' information, feedback, what we do not promise, no liability, the release, claims against us, the iPhone app, disputes and law, and this General section survive the end of this agreement, as does any amount you owe.

You agree to receive notices and records from us electronically. Notices from us go to the email on your account; legal notices to us go to support@cleartrill.ai. Our records of your acceptances, calls, messages and charges are accurate unless you show otherwise. "Including" means including without limitation, and headings are for convenience only.

When these terms change, the version and date at the top change and we tell you in the app before they apply to you, and by email at least 30 days before for a material change. If you keep using Cleartrill after a change applies, you accept it; if you do not, you can cancel before it applies. A change to "Disputes and law" does not apply to a dispute either of us has already notified to the other.

These terms are written in English, French and Spanish. If your business is in Quebec, the French version is given to you first and is the one that binds you, unless, after receiving it, you expressly choose to be bound by the English version; that choice is recorded on your account. If your business is in Mexico, the Spanish version is the reference text. Elsewhere, the English version controls unless the law of your place requires another version to prevail. The French and Spanish versions cost you nothing extra.
